Terms of Service

These Terms of Service ("Terms") govern your use of the BuySignal mobile application ("the App") developed by XTS Supply LLC ("we", "us", "our"). By downloading, installing, or using BuySignal, you agree to these Terms.

1. Acceptance of Terms

By using BuySignal, you agree to be bound by these Terms, our Privacy Policy, and Apple's Standard End User License Agreement (EULA). If you do not agree, do not use the App.

2. Eligibility

To use BuySignal, you must:

  • Be at least 18 years of age
  • Have an active Amazon Professional Selling Account in good standing
  • Comply with Amazon's Selling Partner API Terms of Use and Acceptable Use Policy

3. Account & Authorization

  • BuySignal connects to your Amazon Seller Central account via OAuth. We never see or store your Amazon username or password.
  • When you authorize BuySignal, Amazon provides us with a secure token to access product data on your behalf. This token is encrypted with AES-256 and stored on our servers.
  • You must not share your BuySignal subscription with others or allow others to use your configured device.
  • You are solely responsible for all activity that occurs through your authorized account.
  • You may revoke BuySignal's access to your Amazon account at any time through your Amazon Seller Central settings.

4. Subscription & Billing

Subscription Tiers

BuySignal offers the following subscription options:

  • Free: Limited daily scans and saved products
  • Scout: Extended daily scans and full features
  • Pro: Unlimited scans, CSV export, and all features

Billing

  • Subscriptions are billed through Apple's App Store using In-App Purchase.
  • Payment is charged to your Apple ID account at confirmation of purchase.
  • Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period.
  • You can manage and cancel subscriptions in your Apple ID Account Settings.

Refunds

  • Refund requests are handled by Apple in accordance with their refund policy.
  • We do not process refunds directly.

5. Acceptable Use

You agree NOT to:

  • Use BuySignal for any unlawful purpose
  • Reverse engineer, decompile, or disassemble the App
  • Attempt to access other users' data or credentials
  • Use the App in any way that violates Amazon's terms of service or Acceptable Use Policy
  • Aggregate, resell, or redistribute data obtained through the App
  • Use automated systems to interact with the App beyond its intended barcode scanning functionality
  • Circumvent subscription tier limitations or scan limits

6. Data Accuracy Disclaimer

  • Product information, pricing, sales rank, and eligibility data are retrieved through our servers from Amazon and third-party data providers.
  • We do not guarantee the accuracy, completeness, or timeliness of any data displayed.
  • Buy box prices, sales rank, and seller counts can change at any moment.
  • FBA fee estimates are approximations and may differ from actual Amazon fees.
  • Profit calculations are estimates only. Actual profit may vary based on inbound shipping costs, storage fees, returns, and other factors.
  • You are solely responsible for your purchasing and selling decisions. BuySignal is a decision-support tool, not financial advice.

7. Amazon Disclaimer

BuySignal is not created, endorsed, sponsored, or affiliated with Amazon.com, Inc. or any of its subsidiaries.

"Amazon", "FBA", "Fulfillment by Amazon", "ASIN", "Seller Central", and related terms are trademarks of Amazon.com, Inc. These terms are used descriptively to explain the App's functionality.

Amazon may modify, restrict, or revoke SP-API access at any time. We are not responsible for any changes Amazon makes to their APIs, policies, or services that may affect BuySignal's functionality.

8. Third-Party Data Disclaimer

BuySignal uses third-party data providers (including Keepa) to deliver market intelligence. BuySignal is not created, endorsed, or affiliated with Keepa.com. You do not need a Keepa subscription — all market data is provided through BuySignal's servers. We are not responsible for third-party data availability, accuracy, or changes that may affect the information displayed in the App.

9. Intellectual Property

  • BuySignal, its design, code, and branding are the intellectual property of XTS Supply LLC.
  • You are granted a limited, non-exclusive, non-transferable license to use the App for personal commercial purposes (your own Amazon selling business).
  • You may not copy, modify, distribute, or create derivative works based on the App.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
  • WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE APP.
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRECEDING THE CLAIM.
  • WE ARE NOT RESPONSIBLE FOR PURCHASING DECISIONS MADE BASED ON DATA DISPLAYED IN THE APP.

11. Indemnification

You agree to indemnify and hold harmless XTS Supply LLC from any claims, damages, losses, or expenses arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of Amazon's terms of service
  • Your purchasing, selling, or business decisions

12. Termination

  • We may terminate or suspend your access to the App at any time for violation of these Terms.
  • You may stop using the App at any time by deleting it from your device.
  • Upon termination, your locally stored data remains on your device until you delete the App. You may request deletion of server-side data by contacting us.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the App or by updating the "Last Updated" date. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles.

15. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in El Paso, Texas, in accordance with the rules of the American Arbitration Association. You waive any right to participate in class action lawsuits.

16. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
